Online Banking Terms and Conditions

By enrolling in Wolverine eBank Online Banking service ("Online Banking"), you agree to the addition of the following to the Terms and Conditions for Personal Accounts or for Business Accounts (in either case, the "Agreement") governing your Accounts. Terms not otherwise defined have the meanings given to them in the Agreement. Wolverine eBank Online Banking allows you to transfer funds and review account activity using a Personal Computer ("PC"). Please read these additional Terms and Conditions carefully and retain them for your records. We have the right to change the Terms and Conditions at any time by notice mailed or e-mailed to you at the last address or e-mail address shown for your Eligible Accounts, as defined below, on our records as provided in the Agreement, or as otherwise permitted by law.

Section 1. Definitions
"Eligible Account(s)" or "Account(s)" means the deposit, loan and other accounts you have at Wolverine Bank ("Bank") to which you have access through Wolverine eBank Online Banking ("Online Banking") and that does not have transaction restrictions, such as a certificate of deposit. "Business Days" are Monday through Friday, except bank holidays. "You" and "your" refers to the person(s) or entity subscribing to or authorized to use Online Banking; "we," "us" and "our" refers to Wolverine Bank. "Agreement" refers to the Wolverine eBank Online Banking Terms and Conditions. All times referred to in this Agreement are Eastern Standard Time ("EST"). "Transactions" are any deposits, withdrawals, transfers, payments, checks, and other debits and credits posted to your account.

Section 2. Online Banking
Online Banking is an electronic banking service available to you through a PC or similar device, using an access method specified in Section 3. You may use Online Banking to check the balance and recent activity of each of your Accounts, transfer funds between your Eligible Accounts (see Section 6), conduct bill payment transactions from checking accounts (see Section 7), and place stop payments on checks you have written.

The Accounts to which you may have access through Online Banking are your checking accounts, savings accounts, consumer loan accounts, mortgage loan accounts, commercial loan accounts, construction loan accounts, home equity accounts, line of credit accounts, certificate of deposit accounts, and individual retirement accounts. The number of accounts that you may view if they are Online Banking enabled is unlimited. Accounts you open after enrollment in Online Banking will automatically be included in Online Banking unless you instruct us otherwise.

Section 3. Access Methods
Use Microsoft ® Internet Explorer 5.01 (or higher) with 128-bit encryption or Netscape Navigator 4.7 (or higher) with 128-bit encryption. The Internet web site for Online Banking is located at "http://www.wolverinebank.com" or such other Internet addresses as we may provide. No additional software is required for Internet access. Information is not stored on your PC unless you specifically download it to your PC.

Section 4. Changing Accounts
If at any time you wish to change your Eligible Accounts, you must provide us at least ten (10) Business Days advance notice. Call Wolverine Bank Customer Service toll free (800) 968-4280 (outside the Midland area), (989) 631-4280 (in the Midland area), or send e-mail to us at operations@wolverinebank.com.

Section 5. Your Logon ID and Password
You will need a Logon ID and a Password to access Online Banking. Your Logon ID will be mailed to you in approximately 2 to 5 business days after your application is received by us along with directions for using the system. Your initial Password instructions will be mailed to you with your Logon ID. YOU WILL BE REQUIRED TO CHANGE YOUR LOGIN NAME AND PASSWORD AFTER YOUR INITIAL LOGON TO A NEW LOGIN NAME WITH SIX ("6") CHARACTERS AND A NEW PASSWORD WITH 8-16 ALPHANUMERIC CHARACTERS. You can change your password at any time. You authorize us to follow any instructions entered through Online Banking using your Logon ID and Password.

For your protection, your access to Online Banking will be blocked in the event your Logon ID or Password is entered incorrectly on three (3) consecutive access attempts. If this occurs, please call Wolverine Bank Customer Service toll-free at (800) 968-4280 (outside the Midland area) or (989) 631-4280 (inside the Midland area).

Because your Logon ID and Password can be used to access money in any of your linked Accounts and to access information about any of your linked Accounts, you should treat your Logon ID and Password with the same degree of care and secrecy that you use to protect other sensitive financial data. You agree not to give your Logon ID or Password, or make them available, to any other person. You also agree to notify us immediately upon the loss of your Password or the discovery of the unauthorized use of your Logon ID or Password.

Section 6. Transfers
Transfers may be made between Eligible Accounts. To schedule a transfer of funds between Eligible Accounts, you must provide the Eligible Accounts from and to which the transfer is to be made and the amount to be transferred. Any attempted transfer that exceeds the available balance in the Eligible Account from which the funds are to be transferred will not be made (see Section 15 for other exceptions).

After you send the transfer instructions, you will receive a confirmation number. You should record this confirmation number in your records because it may help us resolve any questions you may have concerning a transfer.

Section 7. Additional Information Regarding Transfers and Bill Payments
"Transfers" are internal transactions between two Wolverine Bank accounts. Transfers of available funds may be made any day at any time. Transfers cannot be cancelled after the instruction is sent to us. Transfers can be made Monday through Friday , 8:00 a.m. until 9:00 p.m., and Saturdays, 8:00 a.m. until 5:00 p.m., both excluding legal holidays. Transfers after the cutoff times will be processed on the next business day but will show immediately in your available balance.

"Payments" or "Bill Payments" are external transactions between your Wolverine Bank checking account and an external Payee. Payments may be initiated on the current business day, on a future date, or on other scheduled dates, subject to the restrictions in this Agreement and as available as options in Online Banking. Payment instructions must include the correct Payee name, and must include a complete mailing address, telephone number, and account number for each Payee. The Bank reserves the right to refuse to pay any person or entity to which you direct a payment. Although payment information can be entered twenty-four (24) hours a day, seven (7) days a week, payments can be initiated only on business days (Monday through Friday, 8:00 a.m. until 9:00 p.m. and Saturday, 8:00 a.m. until 5:00 p.m., both excepting legal holidays). Funds will be deducted from your account on the business day on which a payment is to be "initiated." This date is referred to in this Agreement as the "Transaction Date." If you direct the initiation of a payment to occur on a day other than a business day, it will be initiated on the following business day. After funds are withdrawn from your account, payments may be remitted by the Bank on behalf of you by mailing the Payee a check, by electronic funds transfer including ACH ("Automated Clearing House), or by other means as appropriate. Because of the time it takes to remit payments, your Payees will not receive payment on the Transaction Date. This applies regardless whether the payment is a next-day payment, a future payment or a recurring payment. Therefore, in order to provide sufficient time for payments to be received by Payees, the Transaction Date should be at least five (5) business days prior to the date the payment is due, excluding any applicable grace periods offered by the Payee ("Due Date").

Recurring payments or transfers are those made for the same amount scheduled on a weekly, bi-weekly, monthly, bi-monthly, quarterly, semi-annually, or annually. Once started, recurring payments or transfers will be made automatically until the Bank is notified to stop or cancel it, and the Bank has sufficient time to cease the recurring payment(s) or transfer(s). You notify the Bank by deleting the recurring payment or transfer prior to its scheduled date via Online Banking.

You may be able to cancel certain payments made via online banking. If the payment was made via check, the payment can be cancelled prior to the check being presented to the Payee. A stop payment fee, as noted in our Schedule of Fees, will apply. The Bank cannot guarantee the ability to cancel or stop any payment. To place a stop payment on a bill payment transaction, you MUST call us during normal business hours (Monday through Friday, 9:00 a.m. until 5:00 p.m., excluding legal holidays) at the telephone number noted in this Agreement.

Section 8. Reviewing Transactions and Alerts/Messages
Online Banking automatically includes records of past transactions as part of your account activity that can be displayed online. You can also download up to ninety (90) days of account history, including transfers and payments, to your PC.

You may use Online Banking to check the balances and recent activity of your Accounts. Any balance shown by Online Banking will include a date as of which the balance is current. The balance shown by Online Banking may not be your actual available balance. The balance shown may differ from your records because it may not include deposits in progress, outstanding checks, other withdrawals, payments, charges, or items in process.

Internet Banking Alerts is an option which allows you to set up automatic notification of specific events based on your own criteria. Alerts may be sent to you via email, in an online message box within Internet banking, or both. Email alerts will be sent to the email address which you provide when creating the alert.

  • The bank may add or remove various types of alerts from time to time.
  • If you change your email address, you are responsible for changing the email address in the alerts which you have already set up.
  • If you use this option, you understand that alerts may be delayed or prevented for a variety of reasons and agree to the following :
    • We do not guarantee the delivery or validity of the contents of any alert.
    • We will not be liable for any delays, delivery failure or misdirected delivery of any alert.
    • We will not be liable for any actions taken or not taken by you or anyone else in reliance of an alert.

The following conditions also apply:

  • The bank will never include your password or full account number in an email alert; however you understand that alerts may include your name and some information about your accounts.
  • Unfulfilled events (events that do not happen) will only remain on the system for 999 days. You will not be notified when they are removed.
  • Distributed events (events that have happened and have been viewed) will remain on the system for 30 days.

Section 9. Statements
All of your transactions made through Online Banking will appear on your monthly Account statement(s) and will be identified by initiation date and transaction amount. You may also review and/or download the current cycle's statement plus the prior two (2) months statements. Additional data may be available for accounts other than checking accounts.

Section 10. Stop Payments
You may use Online Banking to place stop payments on checks you have written. A stop payment fee, as noted in our Schedule of Fees, will apply. Before placing your stop payment, verify the check(s) has (have) not cleared your account. Stop Payments will be in effect for 6 months. Refer to the online instructions and help for complete details to place a Stop Payment on a check(s). A verification form may be required. The Bank cannot guarantee the ability to cancel or stop any payment.

Section 11. Electronic Mail Messages
We may not immediately receive any email sent by you. We need a reasonable opportunity to take action or respond to email requests. You CANNOT use email to transfer funds, make bill payments, report unauthorized transactions, or report unauthorized use of your Access ID or Password. You MUST notify us at the phone number or address listed in this Agreement. Because we may transmit information to you electronically, you need to provide us with an email address. Messages sent by regular email are not protected like your banking transactions. If you need to contact us immediately, please see Section 18.

Section 12. Fees
Online Banking is a free service provided by Wolverine Bank. All other fees applicable to your Accounts remain in effect. See your Account Terms and Conditions or the Schedule of Fees for other fees that may be applicable.

Section 13. Hours of Operation
Online Banking is available seven (7) days a week, 24 hours a day, except during maintenance periods or periods during which Online Banking otherwise is not operable. Other exceptions, as noted in this Agreement, may apply.

Section 14. Your Responsibilities and Liabilities
Your rights and liabilities regarding losses that occur because your Logon ID or Password is used without your permission, or with respect to errors, are outlined in the "Electronic Funds Transfers Disclosure Statement" that was given to you when your Account was opened and will be mailed to you with your Logon ID.

Section 15. Liability for Failure to Complete Transactions
If we do not properly complete a transaction involving your account on time or in the correct amount according to the terms of this Agreement, we may be liable for some losses or damages. However, there are some exceptions. We will not be liable, for instance:

  • If your account did not have enough money that was "available for use" to make the transfer or payment. See our Funds Availability Policy for more details.
  • When funds are subject to legal process or other legal encumbrances and are not available for use.
  • If there is a hold on your account, or if access to your account is blocked, in accordance with banking policy or procedure.
  • If we have terminated this agreement.
  • If the transaction would exceed your established credit line, if any.
  • If any part of the system was not working properly and you knew this when you began the transaction or at some time during the processing of the transaction.
  • When despite reasonable precautions taken by us, an act of God or other circumstances beyond Wolverine's control interferes with or prevents the transaction.
  • When we receive inaccurate or incomplete information from you or a third party involving the account, transfer, or payment.
  • If any necessary authorizations for completing the transaction have been revoked by operation of law.
  • If you believe someone has accessed your accounts without your permission and you fail to notify us immediately.
  • You have not properly followed the scheduling instructions on how to make a transfer or payment.
  • If we have a reasonable basis for believing that unauthorized use of your Password or Account has occurred or may be occurring or if you default under this Agreement, the deposit account agreement, a credit agreement, or any other agreement with us, or if we or you terminate this Agreement.
  • If a Payee mishandles or delays handling a payment sent by the Bank.

There may be other exceptions stated in this Agreement and in other Agreements with you. In no event shall we be liable for damages in excess of your actual loss due to our failure to complete a transfer or payment.

Section 16. Authorization to Obtain Information
You agree that we may obtain and review your credit information from a credit bureau or similar entity. You also agree that we may obtain information regarding your Payee Accounts in order to facilitate proper handling and crediting of your payments.

Section 17. Account Information Disclosure
We may disclose information to third parties about your account or transaction made to your account. See our Privacy Policy for more details.

Section 18. Termination
You may terminate your use of Online Banking at any time by:

  • Calling Wolverine Bank Customer Service toll-free at (800) 968-4280 (outside the Midland area) or (989) 631-4280 (inside the Midland area);
  • Writing to us at Wolverine Bank, attn: Operations, 5710 Eastman Ave., Midland, MI 48640-2564;
  • Sending email to us via the Internet at operations@wolverinebank.com

You must notify us at least ten (10) Business Days prior to the date on which you wish to have your enrollment in Online Banking terminated. We may require that your request be in writing.

We may terminate at any time your access to Online Banking, in whole or in part, for any reason without prior notice. Termination will not affect your liability or obligations for transactions we have processed on your behalf.

Section 19. Limitation of Liability
Except as otherwise provided herein or by law, we are not responsible for any loss, injury, or damage, whether direct, indirect, special, punitive, incidental or consequential, caused by Online Banking or your use of Online Banking or arising in any way out of the installation, operations, use, or maintenance of your software or equipment.

Section 20. Entire Agreement
This Agreement is the complete and exclusive agreement between you and us related to Online Banking and supplements any other agreement or disclosure related to your Account. In the event of a conflict between this Agreement and any other agreement or disclosure related to your Account or any statement by our employees or agents, this Agreement shall control.

Section 21. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan. You acknowledge that you have reviewed this Agreement, understand the terms and conditions set forth therein and agree to be bound hereby.

Section 22. Indemnification
You, in consideration of being allowed access to Online Banking, agree to indemnify and hold us harmless for any losses or damages to us resulting from the use of Online Banking, to the extent allowed by applicable law.

Section 23. Assignment
You may not transfer or assign rights or duties under this Agreement.

Section 24. Waivers
No waiver of the terms and conditions of this Agreement will be effective, unless in writing and signed by an authorized officer of Wolverine Bank.

Section 25. Amendments
We may change or amend any of the terms and conditions of this Agreement, at any time, upon at least 21 days notice to your prior to the effective date of any change or amendment. Your failure to timely furnish notices as set forth above shall be deemed to be your acceptance of such change or amendment. If you do not agree to abide to a change or amendment, you must notify us of that fact prior to the effective date of the change or amendment. You must also cancel this Agreement. We do not need to provide you with any prior notice where an immediate change in the terms and conditions of this Agreement is necessary to maintain or restore the security of the system or an account(s). Notices mailed or delivered to you as discussed in this paragraph will be considered effective if mailed to the most recent address in our Account records, or email address in which you authorized to receive such notices and/or disclosures.
